This session had the co-authors (Peter Dey, Sarah Kaplan) of the recent report, <em><a href=\"https:\/\/www.rotman.utoronto.ca\/FacultyAndResearch\/ResearchCentres\/LeeChinInstitute\/Sustainability-Research-Resources\/360-Governance-Report\">360<sup>o<\/sup> Governance: Where are the Directors in a World of Crisis<\/a><\/em>, from UT\u2019s <strong>Rotman School of Management<\/strong>. Also, check out Sarah\u2019s <a href=\"https:\/\/sarahkaplan.info\/the360corporation\/\">book<\/a>, <em><a href=\"https:\/\/www.amazon.ca\/360%C2%B0-Corporation-Stakeholder-Trade-offs-Transformation\/dp\/1503607976\/ref=sr_1_1?dchild=1&amp;keywords=sarah+kaplan&amp;qid=1615315640&amp;sr=8-1\">The 360<sup>o<\/sup> Corporation: From Stakeholder Trade-offs to Transformation<\/a><\/em>.<\/p>\n\n\n\n<p>Another resource from UT\u2019s <strong>Rotman School of Management<\/strong> is the NFP Governance Essentials <a href=\"https:\/\/www.rotman.utoronto.ca\/ProfessionalDevelopment\/Executive-Programs\/Programs-Individuals\/Governance-Essentials\">certificate program<\/a> co-sponsored by the Institute of Corporate Directors (<a href=\"https:\/\/www.icd.ca\/\">ICD<\/a>). This intensive program is focused on governance of <em><strong>N<\/strong><\/em>ot-<em><strong>F<\/strong><\/em>or-<em><strong>P<\/strong><\/em>rofit organizations in Canada, e.g., registered charities such as many churches across Canada. Note that we need to discern the <em>NFP<\/em> sector (registered charities and non-profits) from the <em>for profit<\/em> sector. For example, there is a separation of responsibilities and duties between the board that governs (e.g., the \u201cends\u201d) and the management team that executes (e.g., the \u201cmeans\u201d). Specifically, in some jurisdictions (e.g., Ontario), there are regulatory requirements for <a href=\"https:\/\/www.attorneygeneral.jus.gov.on.ca\/english\/family\/pgt\/charbullet\/bullet3.php\">charitable fiduciaries<\/a> to discharge their duties accordingly. In particular, directors\/trustees are to avoid <span style=\"color:#a33500\" class=\"has-inline-color\">c<\/span>onflict-<span style=\"color:#a32300\" class=\"has-inline-color\">o<\/span>f-<span style=\"color:#a33100\" class=\"has-inline-color\">i<\/span>nterest situations, even the appearance of <span style=\"color:#a33a00\" class=\"has-inline-color\">COI <\/span>(duty 4), and also to act <em>gratuitously<\/em> (duty 5).<\/p>\n\n\n\n<p>For example, pursuant to the guidance of the Office of the Public Guardian and Trustee (<a href=\"https:\/\/www.attorneygeneral.jus.gov.on.ca\/english\/family\/pgt\/charbullet\/bullet3.php\">OPG&amp;T<\/a>) of Ontario\u2019s Ministry of the Attorney General, regarding the duty to act <em>gratuitously<\/em>, a charity can<em>not<\/em> pay a director\/trustee in any capacity unless approved in advance under section 13 of the <a href=\"https:\/\/www.ontario.ca\/laws\/statute\/90c10\">Charities Accounting Act<\/a>, although the charity can reimburse them for reasonable expenses. Thus in some jurisdictions, a paid staff member can<em>not<\/em> sit <span style=\"color:#a30016\" class=\"has-inline-color\">ON <\/span>the governance board, although they may sit <span style=\"color:#2fa300\" class=\"has-inline-color\">IN <\/span>the board meetings by invitation.<\/p>\n\n\n\n<p>Moreover, at the federal level, under Canada\u2019s <em><a href=\"https:\/\/www.canada.ca\/en\/revenue-agency\/services\/charities-giving\/charities\/policies-guidance\/summary-policy-u02-undue-benefits.html\">Income Tax Act<\/a><\/em>:<\/p>\n\n\n\n<ul class=\"wp-block-list\"><li>A registered charity can<strong><em>not<\/em><\/strong> confer on a person an undue benefit.<\/li><li>A registered charity that confers on a person an undue benefit is liable to a penalty, and could result in the suspension of its tax-receipting privileges.<\/li><li>A registered charity that contravenes or continues to contravene the Act could also have its registration revoked.<\/li><\/ul>\n\n\n\n<p>Whereas some church constitutions and bylaws may permit their paid executive staff to serve on their board (e.g., elders), and even act as the chair, these ecclesiastical statutes do <strong><em>not<\/em><\/strong> override the provincial and federal legislations of our home and native land.<\/p>\n","protected":false},"excerpt":{"rendered":"<p>As Spring draws nigh (with Daylight Saving Time imminently coming into effect), I hope you remain safe and well.
